I am looking to start my small  ecommerce venture in WA State. =20
The  Parent Company is a Canadian controlled private company. This =
company  wants to setup a shipping centre  in Bellingham to handle their =
Ebay business.  This company will sell children=92s clothing. =
Originally, this company wants to source children=92s  clothing from the =
US and ship to Canada. However, any import of non US made Children =
clothing required to pay  22% of Custom duty.    Nearly 95% of the sales =
are to various States of the US.  As a result, this company is looking =
to setup a shipping centre to handle all US Sales.

We want to know if  this company will setup a non resident company in WA =
 or setup a Canadian Branch in WA  Can you tell me what is the diff?  =
ie. Tax, movement of working capital, Washington State Sales & use =
taxes..

I will live in Richmond and will go there (Bellingham) to handle =
shipping procedure.   Would you please tell me what kind of Visa is =
required to perform this kind of activity.

Far too big a question for me to attempt to answer on my free question =
and answer board.
If you go to www.centa.com and click on the November 1999, issue, you =
will find all sorts of stuff about your business expanding into the USA.
You could have an L1 or and H1 visa or not qualify at all for what you =
want to do if it involves packaging shipping orders.
If it merely involved your hiring someone to do it, then you do NOT need =
a visa but can perform your duties under a B1 status if you keep =
yourself to a branch of your Richmond based company.
.You should seek private counseling with someone like myself before =
going any further. I would charge you $700 to go into detail for your =
company over a two hour period.

I charge $150 an hour on accounting or tax.  David charges $350 an hour.
You need to talk to David about the immigration aspect.  There are =
different rules as to what you can do for a Canadian company or a US =
company.  Different corporation aspects may make a difference on  Visas.
Foreign corporations that operate businesses in the US must pay a branch =
profits tax equal to 30% of the foreign corporation's dividend =
equivalent amount in addition to US corporate Income taxes on its =
effectively connected income.   ( starts at 15%) =20
There are reporting requirements to CCRA for US corporations owned by =
residents of Canada.  A Canadian corporation would also be reporting =
worldwide income to Canada and claiming a foreign tax credit for US tax =
paid on a branch operation in the US. =20
US corporations need higher shareholder equity than in Canada.
